Maximize Your Equity-Based Compensation

Navigating the complexities of equity-based compensation can be challenging. Whether you have Incentive Stock Options (ISOs), Non-Qualified Stock Options (NSOs), Restricted Stock Units (RSUs), or participate in an Employee Stock Purchase Plan (ESPP), understanding the tax implications is crucial. At SD Mayer & Associates, we specialize in helping employees, executives, and business owners optimize their employee stock options to minimize tax liabilities and maximize financial gains.

Understanding Employee Stock Options and Their Tax Implications
Incentive Stock Options (ISOs) vs. Non-Qualified Stock Options (NSOs)

ISOs and NSOs are two of the most common types of employee stock options, but they are taxed differently:

  • ISOs offer potential tax advantages, as long as certain holding period requirements are met. However, they may trigger Alternative Minimum Tax (AMT) considerations.
  • NSOs, on the other hand, are taxed as ordinary income at the time of exercise, which can significantly impact your tax bill if not planned for properly.

Restricted Stock Units (RSUs) and Employee Stock Purchase Plans (ESPPs)
  • RSUs are taxed as income when they vest, making it essential to plan for potential tax liabilities before selling the shares.
  • ESPPs allow employees to purchase company stock at a discount, but tax treatment depends on whether shares are sold within the qualifying holding period.

How We Can Help with Your Equity-Based Compensation Strategy

At SD Mayer & Associates, our tax planning experts provide personalized guidance to help you:

  • Determine the best time to exercise ISOs or NSOs to minimize taxes.
  • Strategically sell RSUs and ESPP shares to optimize after-tax returns.
  • Navigate AMT considerations for equity-based compensation.
  • Integrate employee stock options into your broader financial and tax planning strategy.
Schedule a Consultation for Your Stock Option Tax Strategy

If you have ISOs, NSOs, RSUs, or ESPP shares and need expert tax planning assistance, our team is here to help. Contact SD Mayer & Associates today to ensure you maximize the benefits of your equity-based compensation while minimizing tax exposure.
